Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of Pricing Sheets, the interactive proposal and quoting platform for agencies, MSPs, consultants, and other service businesses (the “Service”), operated by Pricing Sheets (“we,” “us,” or “our”).

1. Acceptance of these Terms

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you are entering into these Terms on behalf of a company or other organization, you represent that you have authority to bind that entity, and “you” refers to that entity. If you do not agree to these Terms, do not use the Service.

We may update these Terms from time to time. When we make material changes, we will take reasonable steps to notify you (for example, by email or an in-product notice). Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

2. Accounts and workspaces

To use most features you must create an account and a workspace. You are responsible for the information you provide and for keeping your credentials secure. You must promptly notify us of any unauthorized use of your account.

  • You must be at least the age of majority in your jurisdiction and capable of forming a binding contract.
  • A workspace owner may invite and manage additional members, and may assign roles (owner, admin, member, viewer) that determine what each member can do.
  • You are responsible for the acts and omissions of users within your workspace and for ensuring they comply with these Terms.

3. Acceptable use

You agree not to, and not to permit others to:

  • use the Service to send unsolicited communications, or to create, store, or transmit unlawful, infringing, defamatory, or harmful content;
  • misrepresent your identity, impersonate others, or use the Service to defraud recipients of your proposals;
  • attempt to gain unauthorized access to the Service, other accounts, or its underlying systems, or interfere with or disrupt the integrity or performance of the Service;
  • reverse engineer, decompile, or attempt to extract the source code of the Service except to the extent that restriction is prohibited by law;
  • resell, sublicense, or provide the Service to third parties except as expressly permitted, or use it to build a competing product.

4. Your content

You retain all rights in the proposals, pricing data, branding, and other materials you create or upload (“Your Content”). You grant us a worldwide, non-exclusive license to host, process, display, and transmit Your Content solely as needed to provide and improve the Service, including rendering proposals to the buyers you share them with.

You are responsible for Your Content and for having the rights necessary to use it. We may remove content that we reasonably believe violates these Terms or applicable law.

5. Our intellectual property

The Service, including its software, design, templates, and the Pricing Sheets name and marks, is owned by us and our licensors and is protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service. We reserve all rights not expressly granted.

If you send us feedback or suggestions, you grant us a perpetual, royalty-free license to use them without obligation to you.

6. Fees, subscriptions, and payment

Paid plans are billed in advance on a recurring basis (for example, monthly or annually) at the rates shown when you subscribe. Unless otherwise stated, fees are exclusive of taxes, which you are responsible for.

  • Subscriptions renew automatically at the end of each billing period until cancelled. You may cancel at any time; cancellation takes effect at the end of the current period.
  • Except where required by law, fees are non-refundable and partial periods are not pro-rated.
  • We may change pricing on renewal with reasonable prior notice. Payments are processed by third-party payment processors; we do not store full card numbers.
  • If a payment fails, we may suspend or downgrade your access until the balance is resolved.

7. Third-party services

The Service may integrate with or link to third-party services (for example, payment processors, email delivery, or authentication providers). Your use of those services is governed by their terms, and we are not responsible for them.

8. Disclaimers

The Service is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that it will meet your requirements.

Pricing Sheets is a tool for creating and sending proposals. It is not a provider of legal, tax, accounting, or professional advice, and the templates and sample documents we provide are not a substitute for advice from a qualified professional.

9. Limitation of liability

To the maximum extent permitted by law, we and our suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service.

Our total aggregate liability for any claim arising out of or related to these Terms or the Service will not exceed the amounts you paid us for the Service in the twelve (12) months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

10. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, and expenses (including reasonable legal fees) arising out of Your Content, your use of the Service, or your breach of these Terms or applicable law.

11. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or if we reasonably believe your use poses a risk to the Service or other users.

On termination, your right to use the Service ends. We may delete Your Content after a reasonable period in accordance with our retention practices described in the Privacy Policy. Provisions that by their nature should survive termination will survive.

12. Governing law and disputes

These Terms are governed by the laws of [your governing jurisdiction], without regard to its conflict-of-laws rules. The courts located in [your venue] will have exclusive jurisdiction over any disputes, except where mandatory local law provides otherwise.

13. Miscellaneous

These Terms, together with the Privacy Policy and any order you agree to, are the entire agreement between you and us regarding the Service. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
